1. Company Information
TempKold provides cold-chain, refrigeration, cold-storage, cleanroom, HVAC, engineering, and related technical solutions for commercial, industrial, pharmaceutical, food-processing, agricultural, logistics, retail, hospitality, and other business applications.
2. Definitions
Customer,” “you,” or “your”: Any individual, company, organization, contractor, distributor, or entity accessing the Website or purchasing products or services from TempKold.
“Products”: Equipment, components, systems, parts, materials, panels, doors, refrigeration units, accessories, and other items supplied by TempKold.
“Services”: Engineering, consultation, installation, maintenance, technical support, project management, design, and other services provided by TempKold.
“Order”: A purchase request accepted by TempKold in writing.
“Quotation”: A written commercial proposal issued by TempKold.
3. Eligibility and Authority
You represent that:
You are legally capable of entering into a binding contract; and

Customers must be at least 18 years of age.

6. Product Specifications & Information
Website information, images, and standard technical details are for illustrative purposes. Final binding specifications for any project will be governed strictly by the accepted written quotation, proposal, technical drawings, or purchase order.
7. Compliance, Export Control, and Governing Law
Export Controls: Products may be subject to U.S. export control laws and international trade restrictions. Customers agree to comply fully with applicable laws.
Governing Law: These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
8. Customer Project Requirements
For engineered solutions, TempKold relies on customer-provided data (e.g., room dimensions, temperature requirements, ambient conditions, electrical configurations). The Customer is solely responsible for the accuracy of these details. Inaccurate data may require adjustments in engineering, equipment, or cost.
9. Quotations and Orders
Quotations: Quotations are valid for the period specified therein. They do not constitute a binding contract until formal written acceptance and Order Confirmation are issued by TempKold.
Orders: TempKold reserves the right to reject any Order due to inventory limitations, technical constraints, export/import laws, pricing errors, or credit checks.
10. Pricing and Taxes
All prices are quoted in U.S. Dollars (USD) unless explicitly stated otherwise.
Prices exclude sales taxes, VAT, GST, shipping, customs duties, tariffs, and local installation costs.
International customers are responsible for all applicable local import charges, tariffs, and clearance fees.
11. Payment Terms
Payment terms (including required deposits or progress payments for custom orders) will be defined in the official invoice or contract. Failure to meet payment deadlines may result in production holds, shipment delays, or contract termination.
12. Shipping, Delivery, and Site Preparation
Delivery Dates: Delivery dates are reasonable estimates and subject to supply-chain, port, or logistics conditions.
Installation & Site Conditions: Where installation is agreed upon, the Customer must ensure safe access, proper structural floors, suitable electrical/utility supply, and necessary site clearance prior to team arrival.
13. Inspection, Warranty, and Returns
Inspection: Products must be inspected immediately upon delivery. Visible damage must be documented with the carrier and reported to TempKold promptly.
Warranty: Applicable written warranties cover manufacturing defects when products are properly installed and maintained according to specifications.
Returns/Cancellations: Custom-engineered or special-order products are non-returnable and non-refundable unless agreed upon in writing.
14. Intellectual Property
All Website contents—including logos, product descriptions, schematics, images, graphics, and technical content—are owned by or licensed to TempKold. Reproduction or commercial use without prior written consent is strictly prohibited.
15. Limitation of Liability & Disclaimers
